What does this terms and conditions cover

Orangebox Insider (“we,” “our” or “us” or “Orangebox Insider”) offers a service that provides push notifications via text messages or emails (“Products”). The following Terms of Service (From now on, we will call it the “Terms”) between you (“you” or “your”) and Orangebox Insider describes the terms and conditions on which you may access and use Orangebox Insider located at www.orangeboxinsider.com, and related services (collectively, the “Services”). Please note that your use of the Services constitutes your agreement to follow and be bound by these Terms. If you do not agree to these Terms, please do not use the Services.

 

ACCOUNT 

If you wish to use the Services, you must open an account with us and provide the required information to us. By creating an account and subscribing to the Services, you represent and warrant that: (i) you are at least 13 years of age; (ii) you are entering into the subscription service for personal use, and not for commercial or resale purposes; (iii) you are using your actual identity; (iv) you have provided only true, accurate, current and complete information; and (vi) you will maintain and promptly update the information that you provide to keep it true, accurate, current and complete. You understand and agree that we may deny access to the Services or terminate your subscription, without notice, for any conduct that we, in our sole discretion, believe violates these Terms, including your representations and warranties in this section.

You further agree to maintain the strict confidentiality of your account issued to you for your use of or access to the Services or any portion thereof, and you agree not to allow any other person or entity to use any username(s) that are issued to you. You shall be responsible for all activity that occurs under your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations. All information provided to us will be used in accordance with our Privacy Policy.

 

PROGRAM INFORMATION

Users who subscribe to the Services will receive push notifications for the plan they selected for a monthly fee, excluding any applicable taxes. The Services will be provided via text messages, depending on the plan they select. Message and data rates may apply.

Orangebox Insider is not associated with, or representative of any third party websites or brands. By agreeing to the Terms, users understand the Services does not guarantee any successful result from any third party websites that Orangebox Insider is not associated with.

PAYMENT AND BILLING CYCLE

To use the Services, you must provide a valid debit or credit card (a “Payment Method”). By providing a Payment Method, you authorize us to charge the subscription fee or a fixed amount to the Payment Method associated with your account.

You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the Services until we have successfully charged a valid Payment Method. You can update your Payment Method anytime by logging into your account. We also may update your Payment Method using information provided by payment services providers, such as a new expiration date or credit card number. Following any update, you authorize us to continue to charge the applicable Payment Method.

Your subscription will automatically renew unless canceled prior to the next billing cycle. The date and time you enroll becomes your “Month Anniversary” for purposes of your billing cycle, meaning that your Payment Method will be charged on or around that day unless you cancel by that day.

For example: If you enroll on September 20 your subscription will renew, and your Payment Method will be charged on October 20 and on the 20th of each month thereafter unless you cancel before then.

If you enroll on January 31, your subscription will renew, and your Payment Method will be charged on February 28. Stated differently, if you enroll in the Services on the 29th, 30th, or 31st of a month, your “Month Anniversary” will be the 28th for billing purposes.

If you enroll in THE SERVICES, automatic charges to your payment METHOD will continue until you cancel.

Recurring Billing and Auto-renewal

Some of the Services are offered as a subscription that may consist of an initial period, for which there will be an initial charge, followed by recurring period charges as agreed to by you (“Subscription Services”). If you choose a Subscription Services, your Payment Method will be charged the then-current applicable rate (including all applicable taxes and fees) on the date that you sign up for such Subscription Services. This date is your “Billing Date.” The applicable fee will automatically renew, meaning your Payment Method will be automatically charged the then-current applicable rate for the Subscription Services during each subsequent month until you skip or Cancel (as defined below) the Subscription Services or terminate your Account.  Recurring charges will occur on a going-forward basis each month on or about the same date as your Billing Date (however, if your Billing Date does not exist in a given month, you will be billed on or around the last day of that month). The period between your Billing Dates is referred to as a “Billing Period.” As of your first Billing Date, the  are available to you, subject to these Terms. Your account will remain active and you will remain eligible to participate in the Subscription Services for subsequent Billing Periods after we successfully receive your payment for each applicable Billing Date. If you do not want to continue to be charged on a recurring monthly basis, you must Cancel or skip the applicable Subscription Services or terminate your Account before the end of the then-current Billing Period.

 

By choosing a recurring Subscription Services, you acknowledge that such Paid Services have an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. WE MAY SUBMIT PERIODIC CHARGES (E.G., MONTHLY) WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU PROVIDE PRIOR NOTICE (RECEIPT OF WHICH IS CONFIRMED BY US) THAT YOU HAVE TERMINATED THIS AUTHORIZATION OR CANCELED OR SKIPPED THE SERVICES OR YOUR ACCOUNT. Such notice will not affect charges that have already been submitted or are in process. 

 

To change your Payment Method, please visit the account page, click the link of the subscription plan product, and click the “UPDATE” button of the Payment section. After that, the system will send you an email to your registered email box. Through the link coming with the email, you can update your payment methods. To delete a Payment method and data, you can email us at support@orangeboxinsider.com. For information on how to Cancel your account, see below. 

 

THE PROMOTIONAL OFFER

Each Promotional Offer provides access to the Service advertised:

A. at the price advertised (if any); and

B. for an initial introductory period as further described below, beginning the moment that you confirm your acceptance of the Promotional Offer advertised by submitting valid payment details that are accepted by Orangebox Insider (the "Promotional Period").

By submitting your payment details, you (i) confirm your acceptance of the Promotional Offer advertised; (ii) accept and agree to these Promotional Offer Terms, including the relevant terms and conditions corresponding to the Service advertised; and (iii) acknowledge and agree to the Terms. All information collected by Orangebox Insider under any Promotional Offer will be processed and used in accordance with our Privacy Policy. Unless otherwise advertised, Promotional Offers do not permit or provide access to any third party goods or services.

 

COUPON & GIFT

Each coupon is identified by a Coupon Code.   Coupon values are as specified on the coupon. Each coupon is valid for a limited time only and expires on the date specified in the offer. We are entitled to disapprove any Coupon Code redemption anytime if we deem such redemption inappropriate, unless such Coupon Code is acquired through paying a consideration agreed upon by us.

 

CANCELLATION

Except for the special packages which are one-time purchases, your subscription will continue month-to-month and automatically renew unless canceled. In the future, there might be the ability to pause your subscription.

When you cancel your subscription, you will forgo any additional services, benefits and outstanding credits that have accrued to your account due to tenure of subscription.

 

CANCEL THE SERVICE

You may terminate your subscription service (“Cancel”) at any time by visiting My Subscription. If you cancel the subscription service, you may continue use the service until the end of your then-current Billing Period and your subscription will not be renewed after the expiration of your then-current Billing Period. When you cancel your subscription, any data relating to your account may be processed and used in accordance with our Privacy Policy. 

 

NO REFUNDS

Payments are non-refundable and there are no refunds or credits for partially used periods following any cancellation. However, you will continue to have access to the Services through the end of your current billing period.

Orangebox Insider also holds the authority to suspend, limit, or terminate your access to or use of the Services or your Account, for any reason in our discretion, including your breach of these Terms.

​

CHANGES TO SUBSCRIPTION PRICING

We reserve the right to change the Services, adjust pricing for the Services or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. If you do not like any change that we make, you may cancel your subscription. Except as otherwise expressly provided for in these Terms, any price changes or changes to your subscription will take effect following notice to you and your continued use of the service without canceling shall be deemed acceptance of the change(s).

COMMUNICATIONS

By enrolling in the Services, you consent to receiving emails and/or texts relating to the Services, including marketing emails. Text message/data rates apply. Consent is not a condition of purchase.

CORRECTION OF ERRORS AND INACCURACIES

The information of the Site may contain typographical errors or inaccuracies and may not be complete or current. We therefore reserve the right to correct any errors, inaccuracies or omissions and to change and update information at any time without prior notice (including after you have submitted your order). We apologize for any inconvenience this may cause you.

USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS

All comments, feedback, postcards, suggestions, ideas, and other submissions disclosed, submitted or offered to Orangebox Insider on or through the Site or otherwise disclosed, submitted or offered in connection with your use of this Services (collectively, the “Comments”) shall be and remain Orangebox Insider’s property. Such disclosure, submission or offer of any Comments shall constitute an assignment to Orangebox Insider of all worldwide rights, titles and interests and shall not be limited in any way in its use, commercial or otherwise, of any Comments. Thus, Orangebox Insider will own exclusively all such rights, titles and interests and shall not be limited in any way in its use, commercial or otherwise, of any Comments. Orangebox Insider is and shall be under no obligation (1) to maintain any Comments in confidence; (2) to pay to user any compensation for any Comments; or (3) to respond to any user Comments.

You agree that no Comments submitted by you to the Site will violate any right of any third party, including copyright, trademark, privacy or other personal or proprietary rights(s). You further agree that no Comments submitted by you to the Site will be or contain libelous or otherwise unlawful, abusive or obscene material. You are and shall remain solely responsible for the content of any comments you make.

 

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Orangebox Insider, its officers, directors, employees, agents, licensors and suppliers (collectively the “Service Providers”) from and against all losses, expenses, damages and costs, including reasonable attorney’s fees, resulting from any violation of these Terms or any activity related to your subscription (including negligent or wrongful conduct) by you or any other person accessing the Site using your account.

 

ENTIRE AGREEMENT; WAIVER AND SURVIVAL

 

These Terms govern our relationship with you as it relates to the Services. You confirm that, in agreeing to accept the Terms, you have not relied on any representation except as expressly set forth in these Terms and you agree that you shall have no remedy in respect of any such representation not included in these Terms. Each provision of the Terms shall be construed as separately applying and surviving even if for any reason one or other of those provisions is held to be inapplicable or unenforceable in the circumstances. No waiver by us will be construed as a waiver of any preceding or succeeding breach of any provision in these Terms.
